Terms of Service & Engagement Agreement

Ambiakshi Technology LLC provides artificial intelligence architectures, autonomous multi-agent pipelines, and public web calculators (including AMBIUTILS). Machine intelligence, AI models, and computational utilities can make mistakes. Check important information. You are solely responsible for independently verifying any calculations, code snippets, architectural recommendations, financial estimates, or strategic insights generated through our tools or automated systems.
1. Acceptance of Terms & Corporate Entity
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, "Client", "User", or "you") and Ambiakshi Technology LLC ("Ambiakshi", "Company", "we", "our", or "us"), a limited liability company organized under the laws of the State of Florida, USA.
By accessing or using our websites (ambiakshi.com, tools.ambiakshi.com), booking strategic advisory sessions, engaging our engineering services, or utilizing our software tools, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
2. Scope of Services & Product Offerings
Ambiakshi operates four integrated operational divisions:
Executive AI roadmaps, NIST AI RMF governance, data readiness audits, and sovereignty assessments.
Bespoke multi-agent pipelines, enterprise GraphRAG, vector database sharding, and custom SLM fine-tuning.
Public browser utilities, financial calculators, and developer toolkits hosted at tools.ambiakshi.com.
Mentorship programs, capstone AI coaching, and technical workforce upskilling.
3. Statements of Work (SOW) & Professional Engagements
For custom engineering or advisory retainers, specific scope, deliverables, timelines, milestones, and fees will be documented in a written Statement of Work ("SOW") or Order Form executed by both parties.
- Milestone-Based Billing: Invoices are issued based on agreed milestone completions or monthly retainer intervals. Payments are due in USD within the net terms specified in the SOW.
- Change Orders: Any modifications to project scope or architecture requirements require a mutual written change order prior to implementation.
4. Intellectual Property & Deliverable Ownership
- Client Deliverables Ownership: Upon receipt of full payment for an applicable SOW, Client retains 100% full intellectual property ownership and copyright in the custom software, fine-tuned model checkpoints, and proprietary workflow scripts created specifically for Client.
- Ambiakshi Pre-Existing IP: Ambiakshi retains all rights, title, and interest in its pre-existing core software libraries, foundational scaffolding, proprietary developer utilities (including AMBIUTILS), general architectural patterns, and algorithmic know-how developed independently of Client engagements.
- Zero Client Data Training: Ambiakshi will not use Client confidential data or custom codebase to train public AI models.
5. Acceptable Use Policy & Prohibited Conduct
When using our websites, APIs, or AMBIUTILS developer tools, you agree not to:
- Attempt to reverse engineer, decompile, or extract the source code or proprietary weights of Ambiakshi platforms.
- Use automated scripts, scrapers, or bots in violation of our
robots.txtdirectives or in a manner that degrades system performance. - Transmit malicious payloads, viruses, or exploit zero-day vulnerabilities in our infrastructure.
- Use Ambiakshi services to develop weapons, conduct unlawful surveillance, or violate applicable US or international export control laws.
6. Disclaimer of Warranties & Limitation of Liability
Disclaimer of Warranties:
Except as expressly set forth in a written SOW, all services, public developer tools (AMBIUTILS), website content, and AI outputs are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy of computational outputs.
Limitation of Liability:
To the maximum extent permitted by applicable law, in no event shall Ambiakshi Technology LLC, its principals, officers, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, revenue, or business interruption) arising out of or in connection with your use of our services, tools, or website.
7. Mutual Confidentiality
Both parties agree to safeguard and maintain the strict confidentiality of all proprietary technical, financial, and business information disclosed during discovery sessions or client engagements, exercising at least the same degree of care as they use to protect their own confidential data.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal dispute, suit, or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Pasco County or the Middle District of Florida.
